Sidley represented Rogers Corporation (NYSE: ROG) in its settlement of a potential proxy contest with activist hedge fund Starboard Value, which owns approximately 6.5% of the company’s shares. Pursuant to the settlement agreement, Rogers has appointed two new independent directors to the board. Starboard had nominated six director candidates for election to the 10-member board.
Sidley’s team was led by partners and co-chairs of the Shareholder Activism and Corporate Defense practice Kai Haakon Liekefett and Derek Zaba. The associate team was led by Reuben Zaramian and also included Roy Cohen, Ryan Metz, Johnathan Sargent, Ashley Wong and Joshua Rim as well as paralegal Evan Hughes.
