Freshfields advises N26 on its conversion into a stock corporation

Global law firm Freshfields Bruckhaus Deringer (‘Freshfields’) has advised N26 on the change of the legal form of its holding company, N26 GmbH, and N26 Bank GmbH, each into a stock corporation (Aktiengesellschaft) in terms of employment law and financial regulatory law.
The conversion is a necessary intermediate step on the way to a European Company (Societas Europaea, SE) and a possible IPO.
YPOG advised N26 from a corporate and tax law perspective.
At N26, the conversion was legally advised by Anke Ulrich (General Counsel), Enis Arkat (Senior Legal Counsel), Franz Hahn (Senior Legal Counsel) and Jan Alpha (Legal Counsel).
The Freshfields team consisted of Partner Thomas Müller-Bonanni and Associate Kathrin Thomas (both Labour Law, Düsseldorf) as well as Partner Markus Benzing and Principal Associates Falko Glasow and Daniel Klingenbrunn (all Financial Regulatory, Frankfurt).
