AcBel Polytech Inc. (TWSE: 6282, “AcBel”) agreed to purchase all equity interests in ABB’s Power Conversion division from ABB Ltd (“ABB”) for a consideration of US$505 million in cash (subject to price adjustment mechanism).
A professional team at Dentons Shanghai led by partner Nancy Sun which includes partners Amanda Guo and Sunny Qin, senior associate Lyndon Lin, and paralegals Liam Lu and Leah Liu, acting as the leading counsels of Dentons, coordinated a team of counsels from five jurisdictions, including members from Dentons offices in Asia, Europe and the Americas for the legal due diligence and the review of the transaction documents in this project.
Having faced the challenges of tight time and large scale of this project, Nancy Sun’s team organized and coordinated other Dentons offices and completed the legal due diligence of ABB subsidiaries in five countries, including China, Germany, Singapore, India and Mexico. Along with completing the due diligence on the Chinese subsidiaries, Nancy’s team also reviewed and consolidated the due diligence reports of the other four jurisdictions and reviewed the transaction documents based on the results of the due diligence in the target jurisdictions. With rich experience, rigorous and efficient attitude and diligent workstyle, Nancy Sun’s team provided high-quality legal services for AcBel and won praise and recognition from both the client and the colleagues.
This acquisition will enable AcBel to build a completer and resilient platform in 5G, data centers, high-performance computing, electric vehicle charging infrastructure, warehouse automation and other terminal applications and accelerate its progress of expanding into an integrated solutions provider. Furthermore, the collaboration will allow AcBel to grow its customer base in the US, strengthen its local service capabilities and extend its network of global manufacturing facilities.
